THIS GIVEAWAY IS VOID WHERE PROHIBITED BY LAW AND IS NOT OPEN TO THE GENERAL PUBLIC. IT IS OPEN ONLY TO REGISTERED USERS OF ALTIUM.COM IN GOOD STANDING WHO ARE EIGHTEEN (18) (EXCEPT IN ALABAMA AND NEBRASKA 19 AND 21 IN MISSISSIPPI) YEARS OF AGE OR OLDER AT THE TIME OF THE GIVEAWAY AND WHO OTHERWISE QUALIFY UNDER PARAGRAPH 5, ELIGIBILITY (“PARTICIPANTS”).

1. SPONSOR:

The sponsor of this Giveaway is Altium LLC ("Sponsor" or “Company”) with offices at 4225 Executive Square, Level 7, La Jolla, CA 92037.

2. ACCEPTANCE OF TERMS.

Subject to these Terms, including the conditions of participation set forth below, the Giveaway are entered into by and between you (acting in your capacity as an employee or other representative of your company or other entity, if applicable), and Sponsor. The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms"), govern your access to, use of, and participation in any giveaway administered by us and described in these Terms (collectively, the “Giveaway”). We may provide information regarding the Giveaway and administer the Giveaway through our website, available at www.Altium.com (the "Website"). Please read these Terms carefully before you participate in the Giveaway or use the Website. By participating in the Giveaway, using the Website, or by clicking to accept or agree to the Terms, you accept and agree to be bound by these If you do not want to agree to these Terms, you must not participate in the Giveaway or access or use the Website. You acknowledge that these Terms are legally binding terms and conditions that affect your legal rights and remedies.

3. PRIZES:

There will be 10 winners for this Giveaway. Each winner will be given a $200 gift card. The total value of all prizes is $2,000.

The winner is not permitted to substitute the prize for its cash equivalent. Sponsor reserves the right to substitute any or all of the prizes with any article or service of similar or greater value at its sole discretion. Prizes may not be assigned or transferred. Any individual winner may refuse to accept the prize.

Sponsor is not responsible for any lost, stolen or damaged gift cards or e-gift card codes. Gift cards provided by merchants may be subject to merchant restrictions and shall not be considered an endorsement or sponsorship of the Giveaway or of Sponsor by such merchants.

4. HOW TO ENTER:

Participants may enter the Giveaway by one of the following ways (each a “Qualified Submission”):

a. Logging into or registering for an altium.com account using a corporate or academic email address. After logging into their Altrium.com account, participant must identify the issues with the embedded design, and complete and submit an application identifying the design issues. This results in one submission. A submission from free or temporary email domains will not be considered a Qualified Submission and will not be considered.

b. Having others submit their design review using participant’s personal referral link. Each link is unique to the participant and Sponsor will be able to trace each submission back to the referring participant as long as the full referral link is used to submit the application. Each submission using the link shared by the participant will result in one submission on behalf of the participant.

c. Share your personal referral link on your social media accounts (Twitter, Instagram, Facebook, LinkedIn) using the hashtag #AltiumDesignReviewChallenge and tagging @altium. The post must be public and available for everyone to view, comment, and reshare. The fact of posting on social media will result in 3 submissions to the Giveaway per participant, if the Giveaway is shared multiple times by the same participant it will still result in three submissions only.

Sponsor will not be responsible for lost, stolen, incomplete, improper or misdirected Qualified Submissions. The personal information that Participants submit will be subject to Sponsor's privacy policy. For a copy of Sponsor's privacy policy please go to https://www.altium.com/privacy-policy. Illegible, incomplete, improper or inaccurate Qualified Submissions are void. Participants may not submit multiple Qualified Submissions. Sponsor will not be responsible for lost, stolen or misplaced Qualified Submissions or incorrect or inaccurate transcription of Qualified Submission, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or website, inability to submit the Qualified Submission, or any other error or malfunction, or any injury or damage to Participant’s computer related to or resulting from participation or downloading any materials in this Giveaway. Qualified Submissions will be deemed to have been submitted by the authorized account holders of the e-mail addresses from which the Qualified Submissions were sent. The authorized email account holder is deemed as the natural Participant who is assigned to a corporate or academic e-mail address by an internet access provider, service provider or other organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address.

5. ELIGIBILITY:

This Giveaway is open to Participants that meet all of the following criteria: (a) legal residents of the United States of America and the District of Columbia including Puerto Rico. and its other territories and possessions; or legal residents of Australia, New Zealand, United Kingdom, Japan, South Korea and countries that are part of the European Union. If you do not reside in the United States, your eligibility is contingent upon it being legal in your foreign jurisdiction for you to receive the award. If a foreign person wins an award, our legal team will review the legality of providing the award to that person; (b) with a corporate or academic e-mail address; (c) with a current and authorized Altium account; (d) have attained the age of majority in their state/country of residence; (e) full compliance with these Official Rules; (f) submission of all necessary documents by Participant to Sponsor; and (g) verification of all Participant information by Sponsor. The following persons are not eligible to participate in or win the Giveaway: (a) persons who from and after January 1, 2022 were or are employees or agents of Sponsor or its affiliates, parent, subsidiaries, or the independent contractors of the above organization(s); (b) persons who are engaged in the development, production, distribution of materials, or drawing of winners for this Giveaway; and (c) persons who are immediate family of or who reside in the same household as any person in either of the preceding categories.

6. SELECTION OF WINNER(S):

Ten winners will randomly be selected by representatives of Sponsor as follows: Qualified Submissions that were submitted within the period specified in Paragraph 7 and were submitted within the period specified herein. Sponsor will select winners at random from that identified group of Submissions. The winners will be selected on or about July 31, 2022 PST. The winners will be notified within 10 days after the selection by e-mail. In the event that the Sponsor cannot reach any winners within three (3) days after it attempts to notify all winners, Sponsor will select a new winner(s) according to these rules. Additionally, if a winner is ineligible, it will be deemed as if the winner has rejected the prize, and Sponsor will select a new winner. Sponsor's decision will be final and binding in all respects.

7. SCHEDULE:

The Giveaway begins on or about Thursday, June 15, 2022 Pacific Standard Time and ends on Friday, July 15, 2022 Pacific Standard Time. All Qualified Submissions must be received by 11:59 p.m. Pacific Standard Time.

8. PROVIDING YOUR INFORMATION.

As a condition to winning the Giveaway, you will provide us with certain information, including personally identifiable information, as required by us in our sole discretion (such information, “Participant Information”). Participant Information may include proof of identification and eligibility and an associated affidavit, a completed tax form, and other legal documentation as requested by us. You hereby consent to all actions we take consistent with applicable law and regulations with respect to Participant Information, including providing applicable information to authorities in your state or jurisdiction of residence as required by applicable law or regulation. You represent and warrant that (a) any Participant Information you provide to us is true, accurate, current, and complete, (b) you have all rights necessary to provide us with such information and allow us to use such information in connection with the Giveaway, and (c) you will promptly notify us if any such information is or becomes inaccurate. If you do not provide us with all such Participant Information, you acknowledge that you are not eligible to win the Giveaway. Based on your Participant Information or otherwise, we may determine in our sole discretion that we cannot provide Giveaway winnings to you because such an action would be prohibited by applicable law or regulation. We will have no liability to you in such a scenario, and we will conduct another random selection to select an alternate winner. You bear all risks resulting from incorrect Participant Information or other information you provide to us, including an inability to receive Giveaway winnings due to an incorrect wallet address, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any internet network, computer equipment, software, inability to access any online service or website, or any other error or malfunction. You will provide us with reasonable cooperation in connection with the Giveaway.

9. ADDITIONAL CONDITIONS:

a. Sponsor reserves the right to terminate, suspend or modify this Giveaway if:

i. fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Giveaway; or
ii. there is any violation of law or regulation; as determined by Sponsor in its sole discretion.

b. At its sole discretion, Sponsor may disqualify any Participant whom it considers to have violated the Official Rules or any element of this Giveaway. By participating, Participants agree: (a) to be bound by the Official Rules and the decisions of the Sponsor who select the winners, and (b) to release and hold harmless Sponsor, its affiliates, subsidiaries, and independent contractors, and their respective directors, officers, employees, and agents, including advertising and Giveaway agencies, from any and all liability with respect to acceptance, possession or use (or misuse) of the prizes or participation in the Giveaway.

c. Except where prohibited by law, winner agrees to permit Sponsor to use his/her name, address, city, state, photograph, videotape or any likeness for advertising or publicity purposes for no additional compensation.

d. The names and logos of Sponsor are registered trademarks and may not be used without written permission.

10. TAXES.

Winnings from the Giveaway may be subject to applicable tax laws. You are responsible for any and all taxes on any winnings. If you are a winner, you will pay all such taxes, file all necessary tax forms, and be liable for all tax liability. We may be required by law to withhold a significant portion of the winnings from the Giveaway for federal, state, and local taxes. We are not providing any tax advice and if you are entitled to the winnings from the Giveaway we suggest you consult your tax professionals immediately.

11. FEES.

You are responsible for all costs and fees associated with transferring any winnings to you. We may deduct these costs and fees from any winnings.

12. REPRESENTATIONS.

You represent and warrant that (a) you have and will comply with all applicable laws and regulations in connection with these Terms and the Giveaway; (b) you have full power and authority to agree to these Terms; (c) you are not located in, under the control of, or a national or resident of any country subject to sanctions by the United States; (d) you have not been placed on the U.S. Department of Commerce’s Denied Persons List; (e) you are not identified as a “Specially Designated National” by the United States government; and (f) you will not participate in the Giveaway if any laws prohibit you from doing so.

13. WINNERS LIST:

For the name of the prize-winner(s), please send a separate, self-addressed stamped envelope to Altium LLC, PCB Design Giveaway - List of Winners, 4225 Executive Square, Level 7, La Jolla, CA 92037. Residents of Washington and Vermont may omit return postage.

14. COPY OF THE RULES:

15. DISCLAIMER OF WARRANTIES.

We recommend that you consult your own legal, financial, and other professional advisors in connection with your participation in the Giveaway and use of Giveaway winnings. YOUR USE OF THE GIVEAWAY AND THE WEBSITE ARE AT YOUR OWN RISK. THE GIVEAWAY AND THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE GIVEAWAY OR WEBSITE WILL MEET YOUR NEEDS OR EXPECTATIONS. 16. LIMITATION OF LIABILITY.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RELATED TO THE GIVEAWAY OR OUR WEBSITE, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE AGGREGATE LIABILITY OF COMPANY TO YOU FOR ALL CLAIMS AND DAMAGES RELATED TO THE GIVEAWAY, OUR WEBSITE, AND THESE TERMS WILL NOT EXCEED $100 U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, LOSS, OR LIABILITY FROM INTENTIONAL ACTS (INCLUDING FRAUD, FRAUDULENT MISREPRESENTATION, AND FAILURE TO DISCLOSE DEFECTS), PRODUCT LIABILITY, OR FOR DEATH OR PERSONAL INJURY. IF YOU LIVE, OR ARE OTHERWISE SUBJECT TO THE LAWS IN ONE OF THOSE JURISDICTIONS, ANY STATUTORY ENTITLEMENT AVAILABLE TO YOU WILL BE DEEMED LIMITED TO THE EXTENT (IF AT ALL) PERMISSIBLE UNDER THAT LAW, AND, IF LIMITATION IS NOT PERMITTED, THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION 16 MAY NOT APPLY TO YOU.

17. INDEMNIFICATION.

You agree to defend, indemnify, and hold harmless the Sponsor, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any third party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your violation of these Terms, (b) your participation in the Giveaway or use of the Website, (c) any Participant Information you provide to us, or (d) your violation of any other party’s rights or applicable law.

18. DISPUTES/ APPLICABLE LAW:

By participating in this Giveaway, each Participant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Giveaway or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate courts located in the state of California, U.S.A.; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules, or the rights and obligations of the entrant and Sponsor in connection with this Giveaway, shall be governed by, and construed in accordance with, the laws of the state of California, U.S.A. without giving effect to any choice of law or conflict of law rules (whether of the state of California, U.S.A. or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state California, U.S.A.

19. LIMITATION ON TIME TO FILE CLAIMS.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, THE GIVEAWAY, OR THE WEBSITE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

20. GENERAL.

If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect. You and the Company intend that the provisions of these Terms be enforced to the fullest extent permitted by applicable law. Accordingly, you and the Company agree that if any provision is deemed unenforceable, where possible, it will be modified to the extent necessary to make it enforceable, which may include its deletion. The Company may assign these Terms, in whole or in part, at any time with or without notice to you. You may not assign these Terms or assign, transfer, or sublicense your rights, if any, to the Giveaway, and any attempt by you to do so is void. The Company’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. A waiver will only be binding on the Company if it is in a written document signed by the Company. These Terms (including any incorporated terms) constitute the entire agreement between you and the Company with respect to the Giveaway. Both you and the Company warrant to each other that, in entering into these Terms, neither the Company or you have relied on or will have any right or remedy based upon any statement, representation, warranty, or assurance other than those expressly stated in these Terms. The preceding sentence will not limit or exclude any liability that cannot be limited or excluded under applicable law. No one other than you and the Company, or the Company’s successors and assigns, will have any right to enforce any of these Terms. Neither these Terms nor the Website create partnership, joint venture, employment, or other agency relationships between us. You may not enter into any contract on our behalf or bind us in any way.
