Terms and Conditions for
Monthly Subscription Licenses in India
This document, the Altium Terms and Conditions for Monthly Subscription Licenses for India (Terms), outlines the terms governing your use of Altium products. These Terms are legally binding and enforceable. Please read the Terms in their entirety and do not proceed to purchase a License where you cannot agree to our Terms in full.
Your monthly license subscription (Subscription) commences when your initial payment is processed and will automatically renew monthly. Your Subscription includes the current plan rate and any applicable taxes.
We reserve the right to change the plan rates and will provide notice to you thirty (30) days prior to any such change. In circumstances where you do not agree to the proposed change, you may choose to cancel your Subscription as specified below. Rate changes will not affect applicable taxes which may change from time to time and your Subscription will be adjusted accordingly.
You may elect to cancel your Subscription at any time by following the instructions on your Altium Dashboard. Cancellations must occur at least two (2) business days prior to the renewal date to avoid being charged for that month. Cancellation of your Subscription may result in loss of and/or access to certain features, functions, and capabilities of your Subscription.
You may amend your profile including your payment information any time on your Altium Dashboard.
Term, Suspension, and Termination
Commencement of your Subscription occurs on the date your first payment is processed by us as governed by these Terms, and these Terms are in effect for as long as you have a valid Subscription Term (the Term), unless sooner terminated as permitted. Either party may, with written notice, terminate before the expiration of the Term on the occurrence of the following events: (i) the other party materially breaches any of the terms and does not cure the breach within thirty (30) days after receiving written notice of the breach; or (ii) if the other party ceases to operate, or becomes insolvent (Termination for Cause Event). You may also terminate at any time with written notice to Altium (Termination for Convenience”), but you will: (i) not be entitled to any credits or refunds for amounts accrued or paid for any Subscription Plan prior to such termination; and (ii) remain responsible for paying any Subscription fees owed and payable to us. Except where an exclusive remedy may be specified, the exercise by either party of any remedy, including termination, will be without prejudice to any other remedies a party may have, by law, or otherwise. Once the termination occurs, you will no longer have any right to use, copy or access (or to permit any other person to use, copy or access) your Subscription or any other information or materials that we make available to you under this Agreement, including our confidential information.
If you fail to pay any Subscription fees by the due date, we may, in our discretion, suspend your account and/or your access to your Subscription until such overdue fees are paid. Payment obligations are non-cancellable and, except as expressly stated in the Terms or required by law, Subscription fees paid are non-refundable and non-creditable.
You may reinstate your account and your access at any time by paying any fees due and payable in full. However reinstatement that occurs more than ninety (90) calendar days following a non-payment will not enable you to access previously stored Data. In the event that you elect to terminate your account and your access to your Subscription you may notify Altium in writing. On termination, and subject to no Subscription fees being owed, Altium shall provide you, on request made within ninety (90) days of termination, an archive of your Data.
These Terms, together with Altium’s end user license agreement and any associated privacy policies, constitute the entire agreement between us. In the event of a dispute arising out of the Terms, you agree to alternative dispute resolution in the form of arbitral proceedings in La Jolla, California, USA, held before one arbitrator and administered according to the Commercial Rules of the American Arbitration Association (AAA).
Altium may amend this Agreement at any time by posting the amended terms on its website https://www.altium.com/terms. Altium’s right to amend this Agreement includes the right to modify, add to, or remove terms. Your continued access to your Subscription and Altium Dashboard constitutes acceptance of the amended terms. Altium reserves the right to ask you to acknowledge acceptance through an electronic click-through. This Agreement may not otherwise be amended except through mutual written agreement by a duly authorized representative of each party.

In the event that any of the Terms is deemed to be invalid or unenforceable the remaining portions hereof shall remain in full force and effect.
